Tokyo, Japan—Tosoh Corporation’s Board of Directors decided on October 31, 2017, that the company would purchase fractional shares of less than one share at the closing price for Tosoh common stock on October 31, 2017. This action accords with Article 235 (2) and Article 234 (4) and (5) of the Japan Companies Act regarding the handling of fractional shares of less than one share resulting from a consolidation of shares.
Effective October 1, 2017, Tosoh Corporation consolidated shares of its common stock at a ratio of two to one as agreed at the company’s 118th ordinary general meeting of shareholders on June 28, 2017. That consolidation resulted in fractional shares of less than one share.
